Terms of Service

1. Agreement to Terms

By accessing or using MyClone (the "Platform"), operated by Rappo Inc. ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Platform.

2. Definitions

• "AI Clone" means the artificial intelligence-powered digital representation created using your content and data
• "User" means any individual or entity who creates and manages AI Clones on the Platform
• "Visitor" means individuals who interact with AI Clones created by Users
• "Content" means any text, images, videos, audio, documents, or other materials
• "Proprietary Content" means non-public materials uploaded by Users

3. Use of Platform

3.1 Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts. By using the Platform, you represent and warrant that you meet these requirements.

3.2 Account Registration

• You must provide accurate, complete, and current information
• You are responsible for maintaining the confidentiality of your account
• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized use

3.3 Acceptable Use

You agree NOT to:

• Use the Platform for any illegal or unauthorized purpose
• Create AI Clones using another person's voice, likeness, or identity without their explicit written permission
• Upload content that infringes on intellectual property rights
• Impersonate others or misrepresent your identity or qualifications
• Upload malicious code or harmful content
• Attempt unauthorized access to any portion of the Platform
• Distribute spam or unsolicited communications
• Scrape or redistribute Platform content without permission
• Create defamatory, obscene, or harmful content
• Violate any applicable laws or regulations

4. AI Clone Creation and Management

4.1 Content Upload

• You may upload various content types to train your AI Clone
• You represent and warrant that you either ARE the person being cloned OR have explicit written permission from that person
• You retain ownership of your uploaded Content
• You grant us a license to use your Content solely to provide Platform services

4.2 AI Clone Behavior & Responsibility

• AI Clones are trained exclusively on your provided Content
• We use source-grounding to minimize hallucination
• You are fully responsible for everything your AI Clone says or does
• AI Clone outputs are algorithmically generated and do not represent our views
• You assume responsibility for any defamatory, misleading, or inaccurate outputs
• We provide tools to monitor and control your AI Clone, but ultimate responsibility is yours

4.3 Voice, Likeness, and Identity Rights

You may ONLY upload voice samples, images, or biographical information of:

• Yourself
• Individuals who have given you explicit written consent
• Public domain or properly licensed content

You may NOT create AI Clones of:

• Other people without their written permission
• Deceased individuals without estate permission
• Public figures for commercial purposes without authorization
• Anyone under 18 years of age

• Voice synthesis and likeness reproduction are limited to your authorized AI Clone only
• We will cooperate with any legitimate takedown requests for unauthorized clones

5. Intellectual Property Rights

5.1 Platform Ownership

The Platform and its technology remain our exclusive property, protected by intellectual property laws.

5.2 Your Content

• You retain all rights to Content you upload
• You grant us a limited, non-exclusive, worldwide, royalty-free license to:
  • Use your Content ONLY to operate your specific AI Clone
  • Store and process your Content for service delivery
  • Create model weights specific to your instance (not used for other clones)
• We will NOT use your data to train general AI models or other users' clones
• Content will be deleted 30 days after account termination

5.3 Feedback

Any feedback or suggestions you provide become our property and may be used without compensation.

6. Privacy and Data Protection

6.1 Data Responsibilities

• Our Privacy Policy governs data collection and use
• For Visitor data collected through your AI Clone, YOU act as the data controller
• We act as your data processor, handling data only per your instructions
• You must ensure your AI Clone use complies with applicable privacy laws

6.2 Proprietary Content Protection

• Your proprietary content is isolated to your AI Clone instance
• We access content only as necessary for service provision and support
• Visitors cannot download proprietary content unless you explicitly enable it
• References show only titles/section names, not full content

6.3 Visitor Interaction Data

• You have full visibility into Visitor interactions with your AI Clone
• We may use anonymized, aggregated data for Platform improvements
• You control retention and deletion of conversation histories

7. Pricing and Payment

7.1 Subscription Plans

• Platform access requires a paid subscription
• Pricing varies by plan level
• All fees are exclusive of applicable taxes

7.2 Payment Terms

• Subscriptions bill in advance (monthly or annually)
• Payments are non-refundable except as required by law
• You authorize recurring charges to your payment method

7.3 Price Changes

We'll provide 30 days' notice for any price increases.

8. Third-Party Services

8.1 Integrations

• We integrate with WordPress, Squarespace, and other platforms
• Your use of integrations is subject to their terms
• We're not responsible for third-party service availability

8.2 Embedded Widgets

• Widget use must comply with host website terms
• You're responsible for lawful widget deployment
• We don't control websites where you embed widgets

9. Disclaimers and Limitations

9.1 "As Is" Service

The platform is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 AI Output Disclaimer

• AI Clones are NOT human and may produce errors
• Outputs are algorithmic simulations, not professional advice
• We are NOT responsible for Visitor reliance on AI Clone outputs
• YOU are responsible for your AI Clone's accuracy and appropriateness

9.3 Beta Features

• New features may be released in beta
• Beta features may contain bugs or errors
• We'll provide reasonable notice before discontinuing beta features
• Feedback on beta features is especially valuable

10. Indemnification

You agree to indemnify and hold us harmless from any claims arising from:

• Your use of the Platform
• Your violation of these Terms
• Unauthorized use of another person's voice, likeness, or identity
• Content you upload
• Actions taken by your AI Clone
• Your violation of any third-party rights

11. Limitation of Liability

11.1 Damages Limitation

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages.

11.2 Cap on Liability

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Termination

12.1 Termination by You

You may terminate your account anytime through account settings or by contacting vignesh@buildrappo.com.

12.2 Termination by Us

We may suspend or terminate your account for:

• Violation of these Terms (especially unauthorized voice cloning)
• Legal requirements
• Extended inactivity
• Non-payment

12.3 Effect of Termination

• Your AI Clone will be immediately deactivated
• We'll delete your Content after 30 days (you can request immediate deletion)
• Payment obligations remain due
• Sections 5 (Intellectual Property), 10 (Indemnification), 11 (Limitation of Liability), and 13 (Dispute Resolution) survive termination

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of California, USA, without regard to conflict of law principles.

13.2 Arbitration

Any disputes will be resolved through binding arbitration under the American Arbitration Association rules in California, except for small claims court matters.

13.3 Class Action Waiver

You waive any right to class action lawsuits or class-wide arbitration.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between us regarding the Platform.

14.2 Modifications

We'll notify you of material changes via email. Continued use constitutes acceptance.

14.3 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

14.4 Waiver

Our failure to enforce any right or provision is not a waiver of such right or provision.

14.5 Assignment

You may not assign these Terms without our written consent. We may assign our rights without restriction.

14.6 DMCA Compliance

For copyright complaints, contact vignesh@buildrappo.com with [DMCA] in the subject line, including:

• Identification of the copyrighted work
• Identification of the infringing material
• Your contact information
• A statement of good faith belief
• A statement of accuracy under penalty of perjury
• Your physical or electronic signature

14.7 Export Compliance

You may not use the Platform in violation of U.S. export controls or from sanctioned countries.

15.1 For Organizations

Organizations must ensure all authorized users comply with these Terms, especially regarding voice and likeness rights.

15.2 For White-Label Partners

Separate partnership agreements supersede these Terms where they conflict.

15.3 Zero Tolerance for Misuse

We maintain zero tolerance for:

• Creating unauthorized voice clones
• Impersonating others without permission
• Using the Platform for deception or fraud
• Violating personality rights or privacy
